Executive Coaching Services Agreement

Upon payment of the applicable membership fees outlined below, The Zee Suite™ shall provide Client with the following coaching services ("Services") through the selected coaching membership program (the "Coaching Program"):

a. 12-Month Membership. Clients who enroll in the 12-month membership shall receive:

• i. Access to the Client membership portal (the "Membership Portal");
• ii. The 12-Module Franchise Wealth Accelerator Course;
• iii. Bi-weekly live coaching sessions for twelve (12) months;
• iv. Access to bi-weekly class replays;
• v. Access to the community discussion group within the Membership Portal;
• vi. Open Office Hours calls;
• vii. Book-of-the-Month Club;
• viii. Access to Daly Guided Visualization & Meditation;
• ix. Additional resources and trainings made available within the Membership Portal.

b. Membership Fee Options. Client may select one of the following payment options for the 12-month membership:

• i. Paid in Full Option: A one-time payment of Six Thousand Dollars ($6,000.00), which includes all rights, privileges, and access associated with the 12-month membership.
• ii. Payment Plan Option: A total payment of Seven Thousand Two Hundred Dollars ($7,200.00), consisting of an initial payment of One Thousand Two Hundred Dollars ($1,200.00), followed by six (6) monthly payments of One Thousand Dollars ($1,000.00) each.

c. Term. Regardless of the payment option selected, the term of the Coaching Program shall be twelve (12) months from the Client's enrollment date.

Access to the Coaching Program, Membership Portal, coaching calls, resources, and related materials is limited to active members in good standing and remains subject to continued compliance with this Agreement.

This Agreement is valid as of the Effective Date and shall continue for a twelve (12) month term (the "Term").

Either party may terminate participation in the Coaching Program upon thirty (30) days written notice. However, termination of participation does not relieve Client of any payment obligations under this Agreement. Client remains responsible for payment in full of the Contract Amount regardless of participation level or early termination.

a. Termination on Default.

If Client defaults in the performance of any obligation imposed under this Agreement, and the default remains uncured for fifteen (15) days after Zee Suite has given written notice of default, Zee Suite has the right to terminate this Agreement and limit, suspend, or terminate Client's participation in the Coaching Program without refund or forgiveness of any remaining payments if Client becomes disruptive or difficult to work with, fails to follow Zee Suite guidelines, or impairs the participation of Zee Suite instructors or participants.

Should payment not be successfully received by Zee Suite, Zee Suite reserves the right to submit the unpaid balance to a collection agency, report the account to credit bureaus, and/or file a small claims lawsuit.

a. Client agrees to pay the membership fees selected at enrollment and outlined in Section 1 above.

b. Concurrent with the initial payment, Zee Suite will provide Client with access to the Membership Portal.

c. No Refund Policy.

All sales are final. Due to the immediate access provided to proprietary content, materials, and intellectual property, no refunds will be issued.

By purchasing, Client acknowledges that the value of the Coaching Program is realized through personal participation and application of the work. While Zee Suite fully stands behind the power of this work, results are not guaranteed and depend on Client's individual effort and engagement.

Client agrees that they are not entitled to a refund based on lack of results, dissatisfaction, or failure to complete the Coaching Program.

In addition to making the payments required in Section 4 above, Client agrees to maintain respectful communication in all emails and coaching calls. There is a zero-tolerance policy for disrespectful or discriminatory behavior, which will result in immediate dismissal from the Coaching Program without refund or consideration for re-enrollment.

Further, Client agrees to refrain from any disparagement, defamation, libel, or slander of Kim Daly, Zee Suite, or any of its employees, associates, or members at any time privately or publicly, including on public forums, blogs, and social media platforms. In the event of a breach of this clause, Client will be deemed in default of this Agreement and may be assessed damages of no less than Ten Thousand Dollars ($10,000 USD).

Client acknowledges that results are dependent upon their own participation and agrees to the No Refund Policy outlined in Section 4 above.

All Coaching Program materials, videos, trainings, templates, worksheets, recordings, and related content are the intellectual property of Zee Suite and may not be copied, reproduced, distributed, shared, taught, sold, or otherwise used for commercial purposes without prior written consent from Zee Suite.

Client, in posting a comment, review, or publishing a success story, grants Zee Suite and its affiliates, licensees, successors, and assigns the right to use in perpetuity Client's name and likeness in any form, manner, and media now known or later developed for the purpose of advertising and publicizing Zee Suite's products and services, without review, permission, or compensation.

Zee Suite shall have complete ownership of any recording, product, copy, presentation, or other material containing Client's name and likeness, including copyright interests, and Client acknowledges no ownership interest therein.

Client shall not hold Zee Suite responsible for any liability resulting from the use of Client's name and likeness, including but not limited to claims of defamation, invasion of privacy, right of publicity, or copyright infringement.

The purpose of this section is to promote Client wins, results, and testimonials that Client has already publicly shared via social media, the Membership Portal, and/or live group coaching calls.

Client acknowledges that Zee Suite's Services do not constitute counseling, legal, tax, or financial advisory services and are not a guarantee of financial success.

While Zee Suite may discuss business growth, mindset, or performance-related concepts, Client is responsible for seeking guidance from qualified financial, legal, and tax professionals regarding their personal situation.

Client understands that the coaching process depends upon Client's own participation, implementation, decisions, and actions, all of which remain Client's sole responsibility.

Client further understands that Zee Suite reserves the right to alter coaching staff at any time without notice, and such changes do not warrant a refund.

Nothing in this Agreement or any communication from Zee Suite shall be construed as a promise or guarantee regarding any specific financial or business outcome.

Client agrees not to disclose, whether orally or in writing, any confidential or proprietary information, documentation, work materials, trade secrets, videos, or other content provided through the Coaching Program ("Confidential Information") to any third party at any time before, during, or after participation in the Coaching Program.

Client further agrees not to violate the privacy or publicity rights of any other Zee Suite participant.

Client agrees not to use any materials, relationships, or access obtained through the Coaching Program to solicit, market, promote, or sell competing coaching services, masterminds, programs, products, or events to other Coaching Program participants without prior written approval from Zee Suite.

Client further agrees not to create, organize, or invite participants into "shadow groups," social media groups, local meetups, or related communities based upon relationships formed within the Coaching Program without written permission from Zee Suite.

All notices, demands, requests, and other communications under this Agreement shall be in writing and deemed given if delivered personally, mailed first-class postage prepaid, or emailed to the addresses listed below, or to any other address designated in writing by either party:

This Agreement may not be amended, altered, or terminated except by written agreement executed by both parties.

This Agreement may be executed in counterparts, including separate signature pages, each of which shall be deemed an original.

The waiver by either party of any breach of this Agreement shall not operate as a waiver of any subsequent breach.

This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire.

This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

The parties agree that irreparable harm would result from any breach of this Agreement and that Zee Suite shall be entitled to seek injunctive relief and specific performance, in addition to any other remedies available at law or in equity.

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. Zee Suite's rights and protections under this Agreement shall survive termination.

The provisions of this Agreement shall remain enforceable notwithstanding the existence of any claim or cause of action by Client against Zee Suite.
